In this matter, an Austrian subsidiary was required to accede to a complex international financing structure.
As Austrian counsel to the lender, a US debt fund, we drafted and negotiated the accession documentation, including the security agreements.
This matter was particularly challenging, as comprehensive agreed security principles were in place, but the management of the Austrian subsidiary had various concerns regarding interference with their daily business and potential personal liabilities.
Thus, negotiations were tricky and a very sensitive approach with respect to the whole documentation was required.
